California law requires the Attorney General's review and consent for any sale or transfer of a health care facility owned or operated by a nonprofit corporation. This requirement applies to health care facilities that are licensed to provide 24-hour care, such as general acute care hospitals and skilled nursing facilities. The review process includes a public meeting and, when necessary, preparation of an independent health care impact statement to evaluate whether the transaction may create a significant effect on the availability or accessibility of health care services to the affected community. The Attorney General's decision often requires the continuation of existing levels of charity care and community benefits, emergency services and other essential health care services. The Attorney General is required to consider any factors the Attorney General deems relevant including whether the agreement or transaction is in the public interest, is fair and reasonable to the nonprofit corporation, will result in private inurement, is at fair market value, involves any breach of trust, creates a significant effect on the availability, affordability, or accessibility of health care services or otherwise risks impairing healthy competition, and creates a significant effect on the availability and accessibility of cultural interests provided by the facility in the affected community. Members of the public, patients, employees, elected officials, health care and legal advocates, and hospital management are encouraged to submit written comments on transactions. Notices of transactions are listed below, including instructions on how to submit written comments to staff and information about a public meeting.
The Attorney General's Offices also receives requests to amend conditions imposed by the Attorney General when granting consent for the sale or transfer of a health care facility. Before approving any request to amend a condition, the Attorney General is required to provide public notice of the proposed request for an amendment and information as to how a member of the public can request a public meeting. In approving a request to amend a condition that relates to the operation of a health care facility, such as required levels of charity care and continuation of essential services, the Attorney General considers the effect of the proposed amendment on the availability, affordability, or accessibility of health care services to the affected community. Members of the public, patients, employees, elected officials, health care and legal advocates, and hospital management are encouraged to submit written comments on transactions and may also request a public meeting. Notices of current requests to amend a condition are listed below, including instructions on how to submit comments to staff and request a public meeting.

The Attorney General is reviewing a proposed affiliation and change in control and governance of East Bay Integrated Care, Inc. (East Bay Hospice), a California nonprofit public benefit corporation, and Chapters Health System, Inc. (Chapters Health), a Florida not-for-profit corporation. East Bay Hospice provides hospice, palliative care, and bereavement services to the communities of Solano, Alameda and Contra Costa counties, and operates a 6-bed inpatient hospice facility, Bruns House, located at 2849 Miranda Avenue, in Alamo, California, 94507. Chapters Health is a chronic illness management and hospice service organization that operates affiliated hospice and palliative care services in Florida, Georgia, Virginia, Maryland and Washington, D.C.
Under the affiliation agreement dated October 2, 2024, Chapters Health will become the sole corporate member of East Bay Hospice. According to the parties, the proposed affiliation will be one of four initial affiliations with hospice organizations that comprise a new division of Chapters Health, “Chapters West Region,” for the provision of hospice services in Oregon and Nevada as well as California. The parties indicate the purpose of the affiliation is to preserve existing hospice and palliative care services for the communities served by East Bay Hospice, to address rising competition from for-profit hospice organizations and staffing shortages, and to enhance existing services.

Notice of Attorney General's Decision Granting Waiver
Proposed Sale
The Attorney General is reviewing a waiver request related to the proposed sale of Hayward Sisters Hospital, a California nonprofit corporation doing business as St. Rose Hospital (St. Rose), and Saint Rose Medical Building, Inc. (SRMB), a California nonprofit corporation, to Alameda Health System (AHS). St. Rose Hospital is a 171-licensed bed general acute care hospital located in Hayward, California. The "Membership Issuance Agreement" is by and among St. Rose and SRMB, as Sellers, and AHS, as Purchaser. The Sellers and Purchaser will also enter into a Transitional Services Agreement which provides for the provision of certain transitional planning services by AHS to St. Rose prior to the closing, with the St. Rose Board of Directors retaining full control over St. Rose and SRMB until the closing has occurred. The waiver request is being reviewed under Corporations Code sections 5920, subdivision (c) and California Code of Regulation section 999.5(a)(5).

Public Meeting on the Proposed Sale of St. Rose Hospital
The Attorney General is reviewing a transaction involving the proposed sale of Hayward Sisters Hospital, a California nonprofit corporation doing business as St. Rose Hospital (St. Rose), and Saint Rose Medical Building, Inc. (SRMB), a California nonprofit corporation, to Alameda Health System (AHS), a public hospital authority.
St. Rose Hospital is a general acute care hospital located in Hayward, California, and is comprised of 171 licensed acute care beds including 6 coronary care beds, 9 intensive care beds, and 17 perinatal beds.
St. Rose and AHS will enter into an agreement by which AHS will become the sole corporate member of St. Rose and St. Rose will continue to be the sole member of SRMB. As the sole corporate member of St. Rose, AHS would have the right to appoint the members of the Board of Directors of St. Rose and St. Rose’s Board of Directors would have the right to appoint the members of SRMB’s Board of Directors. As such, on and after the closing, AHS would control St. Rose and SRMB. After the closing, St. Rose will continue to be operated as a duly licensed acute care hospital with a 24/7 emergency department and other acute care services. St. Rose will continue to be a California not-for-profit corporation and be considered a private nonprofit hospital for certain regulatory purposes consistent with the statutory authority of AHS under Section 23004.5 of the California Government Code and Section 14000.2 of the California Welfare and Institutions Code to provide services through private not-for-profit organizations.

Attorney General’s Decision Approving the Amendment for Lake Park Senior Living
Proposed Amendment
The Attorney General is reviewing a request for an amendment to conditions on the sale of Lake Park Senior Living (Lake Park), located at 1850 Alice Street, Oakland, California, 94612, by California-Nevada Methodist Homes, a California nonprofit public benefit corporation, to Pacifica Companies LLC, a California limited liability company. Lake Park consists of a residential care facility for the elderly (RCFE) that includes 143 residential (independent) living units and 37 assisted living apartments, plus a 35-unit skilled nursing facility.
Pacifica Companies LLC assigned the sale agreement to its designee Lake Merritt Senior Living LLC, a California limited liability company, to purchase Lake Park. Pacifica Companies LLC then engaged Northstar Senior Living Inc., a California corporation, to operate the RCFE. The amendment will substitute Calson Care Oakland LLC, a California limited liability company to operate the RCFE at Lake Park.
The original transaction was approved by the Attorney General pursuant to Corporations Code section 5914 et seq. on September 27, 2022. The amendment is being reviewed as required under California Corporations Code Section 5914 et seq. and California Code of Regulations, title 11, section 999.5, subdivision (h). Pursuant to section 999.5, subdivision (h)(3), a public meeting shall be held before the decision is made whether at the discretion of the Attorney General or upon the request of any person within 7 days of the public notice. The Attorney General is reviewing the proposed change in control and governance of Orchard Hospital, a California nonprofit public benefit corporation, that operates and controls Orchard Hospital, a 24-bed general acute care hospital located at 240 Spruce Street in Gridley, California, as well as rural health clinics at 284 Spruce Street, Gridley, California and 2990 Oro Dam Boulevard, Oroville, California. Under a Management Services Agreement between Orchard Hospital and American Advanced Management, Inc., a Delaware corporation, which was executed on June 12, 2023, American Advanced Management, Inc., will provide sole and exclusive management of the facility and also provides for the change in ownership. The stated purpose of the proposed transaction is to provide financial support to Orchard Hospital in order to avoid potential closure. The proposed nonprofit hospital transaction is being reviewed as required by Corporations Code sections 5914 et seq. On or about January 31, 2024, The Regents of the University of California/UCSF Health and Dignity Health, a California nonprofit public benefit corporation, entered into an Affiliation Agreement whereby The Regents/UCSF Health agreed to acquire control of Dignity Health’s hospitals located in the City and County of San Francisco (as well as associated clinics and other assets): St. Mary’s Medical Center, a 275-licensed bed general acute care hospital located at 450 Stanyan Street, San Francisco, California, 94117, and Saint Francis Memorial Hospital, a 294-licensed bed general acute care hospital located at 900 Hyde Street, San Francisco, California 94109. On June 28, 2024, the Attorney General accepted an Assurance of Voluntary Compliance concerning this acquisition. On July 2, 2024, the San Francisco Superior Court approved and entered the Assurance of Voluntary Compliance Re Nonprofit Hospital Transaction accepted by the Attorney General. The Attorney General is reviewing a transaction involving the proposed affiliation of Rady Children’s Hospital and Health Center, a California nonprofit public benefit corporation (RCHHC) and its subsidiary Rady Children’s Hospital – San Diego, a California nonprofit public benefit corporation (RCHSD) with Children’s HealthCare of California, a California nonprofit public benefit corporation (CHC), and its subsidiaries, Children’s Hospital of Orange County, a nonprofit public benefit corporation (CHOC) and Children’s Hospital at Mission, a California nonprofit public benefit corporation (CHOC at Mission).
RCHSD owns and operates a 440-bed general acute care hospital, a 24-bed acute psychiatric hospital, and a 43-bed skilled nursing facility located at 3020 Children’s Way, San Diego, California 92123 (Rady Children’s Hospital) providing both inpatient and outpatient care for pediatric patients, as well as providing various outpatient medical services for RCHSD’s community at locations throughout San Diego County. Rady Children’s Hospital is also a designated Level I pediatric trauma center and a major pediatric clinical research center.
CHOC Hospital is a 334-bed general acute care hospital located in Orange, California providing both inpatient and outpatient care for pediatric patients. CHOC Hospital operates a Level I pediatric trauma center and four clinical institute centers for cancer, neurosciences, orthopedics, and cardiac services, as well as several community clinics in Orange County. CHOC at Mission Hospital is a 54-bed general acute care hospital for pediatric patients, located within Mission Hospital in Mission Viejo, California, and it is a Level II pediatric trauma center with medical and surgical units, pediatric intensive care unit, and a neonatal intensive care unit.
Under the affiliation agreement dated December 17, 2023, CHC will merge with and into RCHHC, which would result in RCHHC (to be renamed “Rady Children’s Health,”) being the sole corporate member of CHOC, CHOC at Mission, and RCHSD, as well as other subsidiaries. According to the parties, the purpose of the transaction is to establish an integrated healthcare delivery system to increase access to, and improving outcomes and the quality of, care within CHC’s and RCHHC’s communities and to further CHC’s and RCHHC’s charitable activities. The proposed nonprofit hospital transaction is being reviewed as required by Corporations Code section 5920 et seq. CHOC/Rady Healthcare Impact Report
Bankruptcy Proceedings: Twilight Haven is a California nonprofit corporation that owns and operates a 10-acre campus with a 116-bed assisted living facility, a 50-bed skilled nursing facility, and a 60-unit independent living facility in Fresno County. On June 22, 2023, Twilight Haven filed for bankruptcy. On February 7, 2024, the Attorney General filed a stipulation in the bankruptcy proceedings with conditions for the sale of Twilight Haven to Bayshire Central Valley, LLC. The Court approved the stipulation and the Attorney General’s Conditions on February 9, 2024.

Proposed Sale of Real Property
The Attorney General is reviewing the proposed sale of certain real property by St. John of God Health Care Services (St. John), a California nonprofit public benefit corporation, to the County of San Bernardino. St. John is affiliated with the Hospitaller Orders of the Brothers of St. John of God, a Roman Catholic religious order of men.
The real property subject to this transaction, an in-patient Substance Use Disorder and Recovery Services Residential Treatment and Withdrawal Management Services facility, is located at 13333 Palmdale Road, Victorville, CA 92392. The facility has 66 treatment and recovery beds and an additional 16 beds to house dependent children of patients. The County of San Bernardino will contract with a new operator to continue operating the facility on-site post-closing, which is expected starting January 1, 2024.

The proposed change contemplates that Mercy Retirement and Care Center will become a part of the Transforming Age nonprofit network through Transforming Age, a Washington nonprofit corporation, becoming the sole corporate member of Elder Care Alliance, a California nonprofit public benefit corporation. Elder Care Alliance is currently the sole corporate member of Mercy Retirement and Care Center, and presently has no members. The stated purpose of the affiliation is to sustain Elder Care Alliance’s network of senior living communities and to advance its ability to achieve its mission through an aligned strategic vision. Attorney General’s Decision Conditionally Approving the Transaction
Proposed Operations Transfer Agreement
The Attorney General is reviewing a proposed Operations Transfer Agreement for seven skilled nursing facilities by subsidiaries of ProMedica Health System (ProMedica), an Ohio not-for-profit corporation, to subsidiaries of Providence Group, Inc. (Providence Group) as part of a joint venture between Welltower Inc. (Welltower) and Integra WIP Member LLC (Integra). Under this joint venture, Integra has designated Providence Group as the new operator for each facility. The facilities are owned by Welltower through its subsidiaries. ProMedica proposes to transfer operations of the following skilled nursing facilities:

Attorney General’s Amended Decision Conditionally Approving the Transaction

The Attorney General is reviewing an amendment to conditions on the proposed sale of Bixby Knolls Towers, located at 3747 and 3737 Atlantic Avenue, Long Beach, CA 90807, by Retirement Housing Foundation, a California nonprofit public benefit corporation, to Pacifica Companies LLC, a California limited liability company. Bixby Knolls Towers consists of a residential care facility for the elderly that includes 168 residential (independent) living units and 53 assisted living apartments, plus a 99-unit skilled nursing facility.
Pacifica Companies LLC has assigned the sale agreement to its designee Atlantic Ave Holdings, LLC, a California limited liability company. Atlantic Ave Holdings, LLC had planned to engage 551 3747 Atlantic Ave SNF, LLC, a California limited liability company and a subsidiary of Buena Vista Healthcare, LLC, to operate the skilled nursing facility. The amendment will substitute ASLB, LLC, a California limited liability company and a subsidiary of Aspen Skilled Healthcare, Inc. to operate the skilled nursing facility at Bixby Knolls.

Eskaton Properties, Inc. Healthcare Impact Report
Bankruptcy Proceedings: Beverly Hospital (Beverly) filed for bankruptcy on April 20, 2023. On June 28, 2023, Beverly provided notice that it had selected American Healthcare Services Foundation, Inc., as the successful bidder for the hospital at a June 27, 2023 auction. On July 5, 2023, the Attorney General entered into stipulated conditions for the sale with the parties, approved by the Court on July 6, 2023. On August 7, 2023, Beverly notified the Court that “the parties were unable to consummate final documentation consistent with the terms agreed at the Auction” and was thus filing a motion for sale of the hospital to White Memorial Medical Center d/b/a Adventist Health White Memorial (AHWM). On August 14, 2023, the Attorney General entered into stipulated conditions for the sale with the parties, approved by the Court on August 15, 2023. The Court approved the sale motion to AHWM on August 18, 2023.

Beverly Hospital operates a 202-bed general acute care hospital located at 309 W. Beverly Boulevard, Montebello, California, 90640.
Montebello Community Health Services, Inc. operates exclusively for the benefit of Beverly Hospital by providing managerial support and financial planning, operates healthcare education programs, and promotes the delivery of healthcare services. Montebello Community Health Services, Inc. owns medical office buildings and other healthcare facilities, which are leased to third party providers.
Under the Affiliation Agreement, Beverly Hospital will affiliate with Adventist Health, becoming a member hospital of Adventist Health's health system under Adventist Health's control. In addition, Adventist Health will become the sole corporate member of Montebello Community Health Services, Inc.

The Attorney General is reviewing the proposed change in control and governance of St. Mary Medical Center, a California nonprofit public benefit corporation, that operates and controls St. Mary Medical Center, a 212 licensed bed, general acute care hospital, located in Apple Valley, California. St. Mary Medical Center is part of Providence St. Joseph Health, a nonprofit health system operating in California, Alaska, Montana, New Mexico, Oregon, Texas and Washington. The affiliation agreement is between St. Mary Medical Center and Kaiser Foundation Hospitals, a California nonprofit public benefit corporation, through their investments in St. Mary Medical Center, LLC, a California limited liability LLC. The purpose of the affiliation is to construct a new hospital facility, which will be seismically compliant, to replace the existing hospital. The proposed nonprofit hospital transaction is being reviewed as required by Corporations Code sections 5920 et seq. Proposed Sale
The Attorney General is reviewing the proposed sale of St. Francis Medical Center, a 314-licensed bed general acute care hospital located in Lynwood, California. The "Asset Purchase Agreement" is by and among Verity Health System of California, Inc., a California nonprofit public benefit corporation, Verity Holdings, LLC, a California limited liability company, and St. Francis Medical Center, a California nonprofit public benefit corporation as Sellers, and Prime Healthcare Services, Inc., a Delaware corporation, as Purchaser. Prime Healthcare Services, Inc.’s affiliate Prime Healthcare Services – St. Francis, LLC, a Delaware limited liability company will serve as the hospital’s operating company. The transaction is being reviewed as required by Corporations Code sections 5914 et seq. The Sellers have also requested a waiver of the written notice to and the written consent of the Attorney General under Corporations Code section 5914(c) and California Code of Regulation section 999.5(a)(5). The request for a waiver was denied on May 12, 2020.

Notice of Public Meeting
The California Attorney General will conduct a public meeting starting on August 20, 2020 at 10:00 AM PDT by teleconference on the Request for Amendment of the Attorney General’s November 22, 2019 Conditions to Change in Control and Governance of Delano Regional Medical Center and Approval of the Affiliation Agreement by and between Central California Foundation for Health and Adventist Health System/West pursuant to Cal. Code Regs. tit. 11, § 999.5(h).
In response to the threat of COVID-19, Governor Newsom issued Executive Order N-33-20 which proclaimed a State of Emergency to exist in California and ordered that all individuals living in California to stay home or at their place of residence, except as needed to maintain continuity of operations of the federal critical infrastructure sectors. Governor Newsom also issued Executive Orders N-25-20 and N-29-20, which authorize the Attorney General to hold a public meeting by teleconference without providing a physical location from which members of the public may observe the meeting and offer public comment.
The public meeting will be accessible to the public telephonically and electronically. Members of the public may listen to the public meeting, or may instead observe, listen, and offer a comment using the methods described below.
This notice of the public meeting is posted on the Attorney General’s website with links and instructions on how to attend the public meeting by BlueJeans videoconference. https://oag.ca.gov/charities/nonprofithosp.
During the meeting, all attendees will be placed on mute by the moderator. You will not be able to mute or unmute your lines manually.

The Attorney General is reviewing a Request for Amendment of the Attorney General’s November 22, 2019 Conditions to Change in Control and Governance of Delano Regional Medical Center and Approval of the Affiliation Agreement by and between Central California Foundation for Health and Adventist Health System/West pursuant to Cal. Code Regs. tit. 11, § 999.5(h). The Request for Amendment is to remove Sleep Lab Services from Condition V of the Consent Letter and Exhibit 3.7 of the Affiliation Agreement.

Public Meeting on the Proposed Change in Control and Governance of Delano Regional Medical Center
The California Attorney General is reviewing the proposed change in control and governance of Delano Regional Medical Center, a 156-licensed bed general acute care hospital in Delano, California. The “Affiliation Agreement” is between Adventist Health System/West, a California nonprofit religious corporation, and Central California Foundation for Health, a California nonprofit public benefit corporation. The transaction is being reviewed as required by Corporations Code sections 5920 et seq. The terms of the proposed transaction are set forth in the written notice submitted to the California Attorney General. The Attorney General has received notice that Verity Health System of California, Inc. seeks to terminate its Health System Management Agreement with Integrity Healthcare, LLC and to directly retain and employ the same individuals currently providing management services. This notice is given pursuant to Condition II of the Attorney General's Decision dated December 3, 2015, conditionally consenting to the proposed change in governance and control of Daughters of Charity Ministry Services Corporation and Daughters of Charity Health System. The termination of the Health System Management Agreement requires 60 days' notice and approval by the Attorney General.

Proposed Change of Control and Governance
The Attorney General is reviewing a proposed transaction between Adventist Health System/West, a California nonprofit religious corporation, doing business as Adventist Health, and St. Joseph Health System, a California nonprofit public benefit corporation. Adventist Health System/West and St. Joseph Health System propose forming a jointly held charitable California limited liability company called ST Network, LLC, to provide healthcare delivery through existing health facilities located in the counties of Humboldt, Lake, Mendocino, Napa, Solano, and Sonoma. Adventist Health System/West is the sole member of each of the corporate health facilities participating in the proposed transaction. St. Joseph Health System is the sole member of St. Joseph Health Northern California, LLC, a charitable California limited liability company, which operates the health facilities participating in the proposed transaction.

ST Network, LLC is being formed under a Master Formation Agreement between Adventist Health System/West, and St. Joseph Health System. The transaction is being reviewed under the written notice review process pursuant to Corporations Code section 5920 et seq.
